Elevate Uranium is seeking shareholder ratification of 4.7 million shares issued to Xanthos Mining as part of its acquisition of an additional 10% interest in Namibia’s Marenica uranium project, a transaction concluded in July 2026.
The Australian-listed company disclosed the proposed ratification in its annual general meeting notice released on 23 October 2026, with shareholders scheduled to vote on the resolution on 25 November in West Perth, Australia.
The transaction involved the payment of A$1.1 million in cash and the issue of 4,701,659 ordinary shares valued at approximately A$1.1 million to Xanthos Mining, bringing the total consideration to approximately A$2.2 million.
The shares were issued on 28 July 2026, meaning the proposed resolution does not concern a new acquisition but seeks retrospective shareholder approval of securities already issued.
Ratification would restore the company’s capacity to issue additional shares under the relevant Australian Securities Exchange listing rules without requiring separate shareholder approval.
Xanthos Mining has been associated with the Marenica project since at least 2007, when historical project records identified it as holding a 20% interest in Marenica Minerals.
The company retained that interest under an arrangement that was described in a 2010 stock exchange announcement as free-carried until a decision to mine.
Under the July transaction, Xanthos sold half its shareholding, reducing its interest from 20% to 10%.
The acquisition increased Elevate’s interest in Marenica Minerals from 75% to 85%, while a separate agreement to acquire the remaining 5% held by Millenium Minerals was intended to take its ownership to 90%.
The Millenium transaction had experienced settlement delays as of September 2026, and the October AGM resolution does not establish whether that separate acquisition has subsequently been completed.
Marenica is one of Elevate’s uranium interests in Namibia, alongside its Koppies project.
The Marenica project has a previously reported mineral resource of 52.8 million pounds of uranium oxide, making the ownership changes relevant to the company’s longer-term uranium development strategy.
By increasing its interest in Marenica Minerals, Elevate stands to retain a larger proportion of any future economic benefits generated by the project.
However, the transaction does not constitute a new investment in mining infrastructure or an announcement of additional uranium production.
The proposed ratification is one of nine resolutions to be considered at Elevate’s annual general meeting.
Another resolution seeks shareholder approval for an additional 10% equity placement capacity, which would provide the company with greater flexibility to raise capital through future securities issues.
The AGM notice does not specify that any capital raised through this additional capacity would be directed towards the Marenica project or other Namibian operations.
Shareholders will also consider director-related resolutions and other corporate governance matters.
The outcome of the November meeting will determine whether the July share issue receives shareholder ratification, but it will not change the fact that Xanthos has already transferred the 10% interest under the completed transaction.
The significance of the vote therefore lies in Elevate’s future share-issuing capacity rather than a fresh change in ownership of the Namibian uranium project.
