Koryx Copper has announced plans to change its corporate domicile from British Columbia, Canada, to the Grand Duchy of Luxembourg.
The move, referred to as the “Continuation,” will also see the company change its name to Koryx Copper S.A.
The Continuation is expected to take effect on October 16, 2025, subject to shareholder and stock exchange approval.
A special meeting of shareholders has been called for October 15, 2025, with details to be provided in a management information circular to be filed on SEDAR+.
Koryx said the decision follows a strategic review and is intended to align its corporate structure with its operational footprint and financing strategy.
The company cited greater strategic flexibility, improved access to international markets, and a favourable investment environment as expected benefits.
The company’s shares will continue to trade on the TSX Venture Exchange and the Namibian Securities Exchange under their current symbols, thereby avoiding market disruption.
Koryx will remain a Canadian reporting issuer and subject to Namibian securities laws.
Upon completion, it will cease to be governed by the British Columbia Business Corporations Act and will become a Luxembourg public limited company under local commercial law.
Koryx Copper is advancing the Haib Copper Project in southern Namibia, a large, advanced-stage porphyry copper-molybdenum deposit with more than 80,000 metres of drilling and extensive technical studies completed to date.
